Terms of Use

1. Acceptance of terms

These Terms form a legally binding agreement between you and BCISM Sdn Bhd. By accessing or using the Service, you confirm that you accept these Terms and that you have the legal capacity and authority to enter into them. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and “you” refers to that organisation.

2. Definitions

• “Account” means the account you register to access the Service.
• “Content” means any text, data, prompts, figures, quantities, pricing, or other material you submit to the Service.
• “Output” means the responses, estimates, documents, and other material generated by the Service in response to your Content.
• “Credits” means the units consumed when you use certain features of the Service.
• “Subscription” means a recurring paid plan (e.g. Pro or Max).

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You must provide accurate and complete registration information and keep it up to date. We may refuse, suspend, or terminate access where these requirements are not met.

4. Accounts & security

You are responsible for safeguarding your account credentials and for all activity that occurs under your Account. You agree to notify us immediately at support@caprix.bcism.org.my of any unauthorised use or security breach. You must not share your Account, or allow others to use it, except as expressly permitted by your plan. We are not liable for any loss arising from unauthorised use of your Account where you have failed to keep your credentials secure.

5. The Service

Caprix is an AI-assisted platform for the construction industry. Depending on your plan, the Service may include conversational AI assistance, quantity and cost estimation tools, market and price trend insights, and a Bill of Quantities (BOQ) builder. Features, limits, and availability may change over time. We may add, modify, or remove features at our discretion.

6. Plans, credits & billing

(a) Plans & credits

We offer a free plan and paid Subscriptions (such as Pro and Max), each with an allocation of Credits that may reset periodically (e.g. monthly). You may also purchase one-time Credit top-ups. Credits have no monetary value, are non-transferable, and are not redeemable for cash except where required by law.

(b) Pricing & payment

Prices are stated in Malaysian Ringgit (RM/MYR) and are processed by our third-party payment processor, Stripe. By providing payment details, you authorise us (through Stripe) to charge the applicable fees, including recurring Subscription fees, to your payment method.

(c) Auto-renewal

Subscriptions automatically renew at the end of each billing cycle at the then-current price, unless you cancel before the renewal date. If a renewal payment fails, we may downgrade or suspend your plan.

(d) Taxes & price changes

Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes. We may change prices prospectively; changes will not affect the current paid billing cycle and will take effect on the next renewal.

7. Cancellation & refunds

You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features until then. Except where required by applicable law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused Credits, or fees already paid. One-time Credit top-ups are non-refundable once delivered.

8. Acceptable use

You agree not to, and not to permit any third party to:

• use the Service for any unlawful, fraudulent, harmful, or infringing purpose;
• submit Content that you do not have the right to submit, or that infringes the rights of others;
• reverse engineer, decompile, scrape, or attempt to extract source code, models, or underlying data from the Service, except to the extent permitted by law;
• circumvent, disable, or interfere with usage limits, Credits, security, or authentication features;
• resell, sublicense, or commercially exploit the Service without our written consent;
• upload malware or otherwise disrupt, overload, or impair the Service or its infrastructure;
• use the Service to develop a competing product or to train competing AI models; or
• use automated means to access the Service in a manner that exceeds reasonable use or violates these Terms.

9. AI output & professional advice disclaimer

The Service does not provide professional engineering, architectural, surveying, quantity-surveying, legal, financial, or other professional advice, and no professional relationship is created by your use of it. You are solely responsible for independently reviewing, validating, and verifying all Output with qualified professionals before relying on it or using it for tendering, contracting, construction, safety-critical, financial, or other decisions. To the maximum extent permitted by law, we accept no liability for any decision made, or action taken, in reliance on Output.

10. Your content

You retain all ownership rights in your Content. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, and display your Content, and to share it with our service providers (including our AI provider), solely to operate and provide the Service to you. You represent and warrant that you have all necessary rights to submit your Content and that it does not violate any law or third-party right. As between you and us, you are responsible for your Content and Output you choose to use.

11. Intellectual property

The Service, including its software, design, text, graphics, logos, trademarks, and all related intellectual property, is owned by or licensed to BCISM Sdn Bhd and is protected by applicable laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you. You may not use our name, logos, or trademarks without our prior written consent.

12. Third-party services

The Service relies on third-party providers (including, without limitation, Stripe for payments, and AI providers such as Anthropic). Your use of those services through Caprix may also be subject to their respective terms and policies. We are not responsible for third-party services and do not warrant their availability or performance.

14. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total amounts you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless BCISM Sdn Bhd and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Content; (b) your use or misuse of the Service or Output; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

16. Suspension & termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 9–11 and 13–20) will survive.

17. Changes to the Service & Terms

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date and may provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

18. Force majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, power or internet failures, outages of third-party providers, strikes, war, terrorism, or governmental actions.

19. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts of Malaysia to resolve any dispute arising out of or in connection with these Terms or the Service, subject to any mandatory consumer protections available to you under applicable law.

20. General

• Entire agreement. These Terms and the Privacy Notice constitute the entire agreement between you and us regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• No third-party beneficiaries. These Terms do not confer rights on any third party except as expressly stated.
